These Terms of Service ("Terms") govern your access to and use of the services provided by PlugAI, Inc. ("PlugAI," "we," "us," or "our"), including the PlugAI enterprise knowledge platform, website at plugai.in, APIs, and related documentation (collectively, the "Service").
Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
By creating an account, requesting a demo, or otherwise accessing the Service, you confirm that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you do not agree with any part of these Terms, you must not use the Service.
For enterprise customers, the terms of a separately executed Master Services Agreement ("MSA") or Order Form will govern in the event of any conflict with these Terms.
PlugAI provides an enterprise AI knowledge platform that enables organizations to unify, search, certify, and act on organizational knowledge using semantic search, generative AI, and agentic workflows. The Service includes:
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice to customers with active subscriptions.
You must register for an account to access most features of the Service. You agree to:
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
You agree not to use the Service to:
We reserve the right to investigate and take appropriate action against violations, including suspension or termination of your account.
The Service and all its components, including the software, algorithms, designs, trademarks, and documentation, are the exclusive property of PlugAI, Inc. or its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it as described herein.
Subject to your compliance with these Terms and payment of applicable fees, PlugAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization's internal business purposes.
Any feedback, suggestions, or ideas you provide about the Service may be used by PlugAI without restriction or compensation to you.
You retain all ownership rights to the data, documents, and content you submit to the Service ("Customer Data"). By using the Service, you grant PlugAI a limited license to process, store, and transmit Customer Data solely as necessary to provide the Service.
PlugAI will not use Customer Data to train AI models or share it with other customers. You are responsible for ensuring you have the rights to submit Customer Data to the Service and that doing so complies with applicable law.
Our handling of personal data within Customer Data is governed by our Privacy Policy and, for enterprise customers, any applicable Data Processing Agreement.
Enterprise customers are billed according to the terms agreed in their Order Form or MSA. Payment terms are net-30 unless otherwise specified in writing. Overdue invoices may result in suspension of access to the Service.
All fees are exclusive of applicable taxes (including GST/VAT), which are your responsibility to pay. PlugAI reserves the right to adjust pricing with 60 days' advance written notice to active customers.
Each party agrees to protect the other's Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care. "Confidential Information" means information disclosed by one party to the other that is marked as confidential or that a reasonable person would understand to be confidential given the nature of the information.
Confidentiality obligations do not apply to information that is publicly known, independently developed, or required to be disclosed by law.
PlugAI warrants that the Service will perform materially in accordance with its documentation under normal use. PlugAI will use commercially reasonable efforts to maintain Service availability and security.
EXCEPT AS EXPRESSLY STATED HEREIN, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
PlugAI does not warrant that the Service will be uninterrupted, error-free, or that AI-generated outputs will be accurate, complete, or suitable for any particular purpose. AI outputs should be reviewed by qualified personnel before being relied upon for important decisions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLUGAI'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO PLUGAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
In no event shall PlugAI be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, even if PlugAI has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless PlugAI, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of any applicable law or third-party rights.
Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure the breach within 30 days of written notice. PlugAI may suspend or terminate your access immediately for violation of the Acceptable Use policy or non-payment.
Upon termination, your right to use the Service ceases immediately. We will provide your Customer Data for export for 30 days following termination, after which it will be deleted in accordance with our data retention practices.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India, unless otherwise specified in a separate written agreement.
We may update these Terms from time to time. We will notify you of material changes by email (for registered users) or by posting a notice on our website at least 30 days before the effective date. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.
